1. Is your company properly incorporated with all statutory registrations and ROC filings up to date?
2. Do you have a clean, documented cap table with no undocumented equity promises?
3. Has all IP created for the business been formally assigned to the company, rather than held personally by founders?
4. Do all co-founders have a signed founders’ agreement in place?
5. Are your key customer and vendor relationships governed by written contracts?
6. Does your company maintain basic financial books and records?
7. Are all employees and contractors engaged under written agreements that include IP assignment?
8. Do you track statutory compliance deadlines (ROC, tax, labour filings) systematically?
9. Have any pending legal disputes, notices, or liabilities been identified and addressed?
10. If you've raised a prior round, have your fundraising documents (SHA/SSA/term sheet) been reviewed by counsel?
