1. Do you have a signed founders’ agreement at all, rather than a verbal understanding?
2. Does it clearly state each founder’s equity percentage?
3. Does it include a vesting schedule for founder equity (e.g., vesting over several years with a cliff)?
4. Does it address what happens if a founder leaves early (leaver provisions or reverse vesting)?
5. Does it clearly define each founder’s role, responsibilities, and decision-making authority?
6. Does it require each founder to assign their IP contributions to the company?
7. Does it include non-compete or non-solicit terms applicable while a founder is involved?
8. Does it specify how disputes between founders will be resolved (e.g., mediation, buyout mechanism)?
9. Does it address what happens to a founder’s equity on death, incapacity, or voluntary exit?
10. Has it been reviewed by a lawyer, rather than drafted only from a generic template?
