Non-disclosure agreements are signed constantly — before investor conversations, vendor negotiations, employee onboarding, and partnership discussions — often using a generic template downloaded online. They are generally enforceable under Indian contract law, treated as any other contractual obligation. The real question isn't whether NDAs are enforceable in principle; it's whether the specific NDA a business is relying on would actually hold up if tested.

What Makes an NDA Genuinely Enforceable

Courts look for a contract that identifies confidential information with reasonable specificity, rather than one that broadly claims "all information disclosed is confidential." An NDA that fails to define what's actually protected, or that's so broad it would restrict the recipient from using publicly known or independently developed information, is more vulnerable to challenge. Equally important is that the obligations be reasonable in scope and duration — an NDA that purports to bind a party to secrecy indefinitely, with no reasonable end point, invites scrutiny.

The Remedy Problem

Even a well-drafted NDA runs into a practical enforcement challenge: proving that a breach actually occurred, and quantifying the resulting damage, can be genuinely difficult once information has been disclosed. This is why NDAs are often paired with specific contractual mechanisms — liquidated damages clauses, or the right to seek an injunction — rather than relying solely on a general damages claim after the fact, which can be slow and hard to value.

Where Generic Templates Fall Short

The most common weaknesses we see in downloaded NDA templates are: no carve-outs for information that was already known, independently developed, or publicly available (making the NDA overbroad and easier to challenge); no clear definition of what counts as a "breach" versus ordinary business use; and no practical remedy specified, leaving the aggrieved party to prove damages from scratch in the event of a dispute.

When an NDA Actually Matters Most

The stakes are highest in exactly the situations where NDAs are used most casually — early investor conversations, and pre-partnership discussions where a business's most sensitive information (unreleased product plans, customer lists, pricing strategy) is shared before any deal is certain. This is precisely where a generic, unreviewed template is riskiest, because it's protecting the information that matters most.
